Corporate Director (Outside Member)

Top Merchandising Planner

Formulates, plans and implements merchandising programs to plan merchandise, control inventory, and allocate merchandise to stores so as to optimize flow of materials, timing, quantities, margins, and optimum unit purchases. Does not have purchasing responsibilities. Directs analysts, planners, and/or allocators. Typically reports to Merchandising Top Officer.: Consults with other personnel to plan allocations to stores. Typically responsible for gross margin planning and analysis. Recommends new policies or procedures as necessary. Interprets company policy to employees and enforces company policy and practices. Oversees preparation and control of departmental annual budget. May recruit, hire, train staff, evaluate employee performance, and recommend or initiate promotions, transfers, and disciplinary action.

Top Treasurer Corporate

Directs and manages the organization's treasury activities including receipt, disbursement, banking, protection and custody and investment of funds, securities, and financial instruments. Analyzes financial records to forecast future financial position and budget requirements. Reports directly to Top Financial or Chief Executive Officer regarding the financial planning, procurement, and investment of funds for an organization. Typically has managers reporting to this position. Requires bachelor's degree and direct work experience in the field.: Evaluates need for procurement of funds and investment of surplus. Advises CFO on investments and loans for short- and long-range financial plans. Prepares financial reports for CFO. Develops policies and procedures for account collections and extension of credit to customers.

Controller, Top Corporate

Directs the preparation of reports that summarize and forecast company business activity and financial position in areas of income, expenses, and earnings, based on past, present, and expected operations. Directs determination of depreciation rates to apply to capital assets. Establishes, or recommends to management, major economic objectives and policies for company or subdivision. Requires minimum of a bachelor's degree, in addition to experience, to carry out the responsibilities for this job. Some employers may require CPA certification. Reports to Top Financial Officer.: May manage accounting department. May direct preparation of budgets. May prepare reports required by regulatory agencies. May advise management on desirable operational adjustments due to tax code revisions. May arrange for audits of company accounts. May advise management about property and liability insurance coverage needed. May direct financial planning, procurement, and investment of funds for organization.

Corporate Treasurer

Head of Corporate Services

Plans, develops, and establishes policies and objectives of functions in accordance with objectives of organization. Has multifunctional support responsibilities such as, but not limited to, administrative functions, data communications, facilities management, human resources services, insurance, office services, purchasing, security, etc. Typically reports to Chief Executive Officer or Chief Operating Officer level, and director-level personnel report to this position.: Confers with organization officials to plan business objectives, to develop organizational policies and to coordinate functions. Provides support and assistance to other functions and operating units of the organization. Interprets company policy to employees and enforces company policy and practices. Develops human resource management policy and programs that contribute to the acquisition, retention, motivation, and development of company employees capable of meeting current and future organizational needs and objectives. Provides physical working environment that provides a positive, productive climate for operations through maintenance, planning, and general building services. Ensures efficiency of internal non-electronic data processing (EDP) management systems through improved organizational structure, continued surveillance, work methods programs, and establishing performance standards. Provides non-EDP equipment and supplies that effectively meet operational requirements with a minimum expenditure. Counsels management on strategic planning and organization design processes, combined with recommendations and insights that contribute to overall plan strategic management and corporate direction. May guide the company's formal strategic planning effort. May provide general legal counsel to management, with a minimum use of external counsel.

Corporate Compliance Director

Directs human relations program: plans, organizes, and executes compliance programs in areas of employment, housing, and education under authority of federal, state, or local discriminatory legislation. Establishes and coordinates activities of local community relations committees. Conducts investigations to resolve complaints and report violations for adjudication. Plans informational programs to stimulate and maintain community interest and support. Cooperates with local, state, and federal governmental units and other organizations in identifying needs and providing assistance in enforcement of statutes.

Corporate Secretary

Prepares minutes and materials related to board meetings. Signs and certifies corporate documents, including loans, leases, and other legal documents requiring a corporate representative's signature in accordance with charter, by-laws, and legal requirements. Takes care of administration of items related to non-financial records. Handles official and legal documents, records and reports, file statements, and other information required by the organization's bylaws and government laws and regulations. Excluded are Corporate Secretaries who are Top Legal Executives.: Affixes the corporate seal when required. Responsible for coordinating shareholder lists and registrations and responding to shareholder requests for information. Plans shareholder meetings, preparing agenda and recording minutes. May prepare announcements of board meetings and provide various types of support to Board Chairman and/or corporate Chief Executive Officer.

Assistant Treasurer Corporate

Assists or supervises the receipt, disbursement, banking, protection and custody of funds, securities, and financial instruments. Assists in the financial functions of the organization's treasury activities including financial planning, procurement, and investment of funds and other assets. A bachelor's degree is required for this position. Reports directly to Corporate Treasurer.: Monitors pension investment results. Analyzes financial records to forecast future financial position and budget requirements. Assists in evaluating the need for procurement of funds and investment of surplus. Advises Treasurer on investments and loans for short- and long-range financial plans. Assists in the preparation of financial reports for Treasurer. Recommends or develops policies and procedures for account collections and extension of credit to customers.

Corporate Giving Director

Plans, organizes, directs, and coordinates ongoing and special project funding programs for museum, zoo, public broadcasting station, or similar institution: prepares statement of planned activities and enlists support from members of institution staff and volunteer organizations. Develops public relations materials to enhance institution image and promote fund raising program. Identifies potential contributors to special project funds and supporters of institution ongoing operations through examination of past records, individual and corporate contracts, and knowledge of community. Plans and coordinates fund drives for special projects. Assigns responsibilities for personal solicitation to members of staff, volunteer organizations, and governing body according to special interests or capabilities. Organizes direct mail campaign to reach other potential contributors. Plans and coordinates benefit events, such as banquets, balls, or auctions. Organizes solicitation drives for pledges of ongoing support from individuals, corporations, and foundations. Informs potential contributors of special needs of institution, and encourages individuals, corporations, and foundations to establish or contribute to special funds through endowments, trusts, donations of gifts-in-kind, or bequests, conferring with attorneys to establish methods of transferring funds to benefit both donors and institution. Researches public and private grant agencies and foundations to identify other sources of funding for research, community service, or other projects.
