Chairman of the Board & CEO

Plans, develops, and establishes policies and objectives of organization in accordance with board directives and corporation charter. This is the top executive and principal organization leader in the organization. Title practices among companies vary; depending on the organization, the position may have the title of Chairman of the Board & Chief Executive Officer, Chief Executive Officer, Chief Executive Officer & President, President, General Manager, or other combinations. This position is distinguished from others in that it is the top ranking executive and, in most cases, is the highest paid executive in the organization. Reports to Board of Directors and often is a member of the board.: Responsible for the profitability of the entire organization. Confers with organization officials to plan business objectives, to develop organizational policies to coordinate functions and operations between divisions and departments, and to establish responsibilities and procedures for attaining objectives. Directs and coordinates formulation of financial programs to provide funding for new or continuing operations to maximize returns on investments, and to increase productivity. Plans and develops industrial, labor, and public relations policies designed to improve company's image and relations with customers, employees, stockholders, and public. Evaluates performance of executives for compliance with established policies and objectives of firm and contributions in attaining objectives. May preside over Board of Directors. May serve as chairman of committees, such as management, executive, engineering, and sales.

Top Legal Officer

Oversees and coordinates legal activities and functions to ensure the organization's legal posture is developed and maintained. Establishes legal services required by the organization and ensures that the organization is protected from any legal action. Provides officers and directors with advice and guidance in identifying the critical problems to which the application of legal principals yields the greatest opportunities for minimizing risks and maximizing profits. A graduate degree from an accredited law school is required to carry out the responsibilities at this level. Typically reports to Chief Executive Officer and has director level personnel reporting to this position.: Works with all departments on developing and modifying policies and procedures to conform to legal requirements. Reviews and controls department budget to support systematically planned programs of legal actions or defenses and to assure optimum deployment of resource within approved budget. Keeps fully informed on all legislation affecting the organization's operations and of all new developments in corporate legal matters, and keeps all levels of management informed of applicable new laws and of the progress and results of court cases. Develops a professionally competent staff of attorneys and legal and paralegal generalists and specialists. Serves as liaison with carefully selected outside legal firms and monitors and evaluates their activities.

Attorney Director Legal

Directs and coordinates the organization's legal staff and activities. Coordinates the development, revision, and compliance of the organization's policies and procedures with all applicable laws and regulations. Provides management with advice and counsel concerning laws impacting the organization's functional areas. Writes/reviews contracts, files for patents and copyrights, files and responds to lawsuits, and recommends outside counsel when necessary. A graduate degree from an accredited law school is required to carry out the responsibilities at this level.: Develops budget recommendations to support systematically planned programs of legal actions or defenses, and establishes controls to assure optimum deployment of resources within approved budgets. Keeps fully informed of all new developments in corporate legal matters and keeps all levels of management informed of applicable new laws and of the progress and results of court cases. May try large, complex cases.

Attorney Legal Manager

Manages the activities of the legal staff. Assists upper management in providing legal advice and counsel on handling litigation and other legal matters involving the company. Assists in developing and modifying policies and procedures to conform to legal requirements. Drafts, reviews, or revises various company documents. Participates in complex legal projects. A graduate degree from an accredited law school is required to carry out the responsibilities at this level. Typically reports to a director and may have supervisors reporting to this position; however, in smaller companies the manager may be the first level supervisor over subordinate staff.: Provides department budget recommendations and assures optimum deployment of resources within approved budgets. Keeps fully informed of all new developments in corporate legal matters, and keeps all levels of management informed of applicable new laws and of the progress and results of court cases. As required, supplements in-house legal staff by carefully selected outside legal assistance, and monitors and evaluates their activities.

Legal Recruiter

Sources, identifies, recruits, and counsels legal professionals in order to place them in client legal organizations.: Contacts law firms and organizations to identify permanent placement needs and business requirements. Sources, screens, matches, tests, and qualifies candidates. Conducts reference checks. Develops client relationships. Schedules interviews. Follows up and manages candidates. Markets top candidates to new and existing clients. Develops and expands existing client relationships.

Legal Investigator

Researches and prepares cases relating to administrative appeals of civil service members: examines state government, personnel, college, or university rules and regulations. Answers members' questions regarding rights and benefits and advises on how rules apply to individual situations. Presents arguments and evidence to support appeal at appeal hearing. Calls upon witnesses to testify at hearing.

Legal Counsel

Performs consultation, advisory, and/or trial work, and carries out the legal processes necessary to effect the rights, privileges, and obligations of the organization. Studies Constitution, statues, decisions, and ordinances of quasi-judicial bodies. Gathers evidence and information for management decision making. Prepares and reviews various legal instruments and documents, such as contracts, leases, licenses, purchases, sales, real estate, etc. Examines legal data to determine advisability of defending or prosecuting lawsuit. Examines material, such as advertisements, publications, etc., for legal implications, advising officials of proposed legislation that might affect the organization. Applies for copyrights or registration of the organization's products, processes, devices, and trademarks, advising whether to initiate or defend law suits. Conducts pretrial preparations and defends the organization in lawsuits. Advises officials on tax matters, government regulations, and/or legal rights. Represents the company before quasi-judicial or administrative agencies of the government. Requires completion of law school with an LLB degree or JD degree and admission to the bar.: Interprets laws, rulings, and regulations for individuals and businesses. Advises concerning transactions of business involving internal affairs, stockholders, directors, officers, and corporate relations with general public. May act as agent of the organization in various transactions. May confer with colleagues with specialty in areas of law to establish and verify basis for legal personnel. May prepare business contacts, pay taxes, settle labor disputes, and administer other legal matters. May teach college courses in law. May apply for patents. May specialize in specific phase of law.

Secretary to CEO

Relieves the executive of administrative type functions in order to increase the time an executive has available for executive level responsibilities. Handles a wide variety of complex situations and conflicts involving the clerical and administrative function of the office that often cannot be brought to the attention of the executive. Composes correspondence requiring knowledge of executive's views, philosophy, and some understanding of technical matters; may sign for executive when technical or policy content has been authorized. : Notes commitments made by executive during meetings and arranges for staff implementation. On own initiative, arranges for staff members to represent organization at conferences and meetings, establishes appointment priorities, or reschedules or refuses appointments or invitations. Summarizes the content of incoming materials, specially gathered information, or meetings to assist executive; coordinates the new information with background office sources; draws attention to important parts or conflict. Locates and attaches related documents to correspondence that requires the personal attention of the executive. Reads outgoing correspondence for executive approval, and alerts writers to any conflict with the file or departure from policies or executive's viewpoints; gives advice to resolve the problem. Anticipates ways in which executive time may be saved. Handles details of a confident nature, and performs administrative functions based on understanding of company policy, executive's views and philosophy. Schedules appointments and gives information to callers. Takes and transcribes notes and dictation. Reads and routes incoming mail. Performs other secretarial and administrative duties.
